SinClip Creator Agreement

Effective Date: August 24, 2024

This Creator Agreement ("Agreement") sets forth the terms and conditions between SinClip ("Platform," "we," "us," or "our"), operated through sinclip.com, and the content provider ("Creator," "you," or "your"). By creating a creator account, verifying your identity, uploading content, or otherwise using the creator services available on SinClip, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Eligibility

To become a Creator on SinClip, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher.

• Provide accurate, complete, and current registration information.

• Successfully complete identity and age verification using a valid government-issued photo identification.

• Comply with all applicable local, national, and international laws.

SinClip reserves the right to reject or suspend any Creator account that fails to meet these requirements.

2. Content Review and Pre-Screening

All content submitted to SinClip is subject to review before publication.

We reserve the right to:

• Review and moderate all uploaded content.

• Reject, remove, edit, restrict, or disable access to any content that violates our policies or applicable laws.

• Suspend or terminate accounts that repeatedly submit prohibited content.

Approval of content by SinClip does not transfer responsibility for the legality of the content from the Creator to the Platform.

3. Content Ownership and License

You retain all ownership rights to the content you upload.

By uploading content to SinClip, you grant SinClip a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to:

• Host and store your content.

• Display and distribute your content.

• Promote and advertise your content and the SinClip platform.

• Stream, reproduce, and monetize your content.

• Use thumbnails, previews, screenshots, and promotional excerpts for marketing purposes.

You may remove your content at any time. However, users who legally purchased or downloaded your content before removal may continue to access it according to their purchase rights.

4. Compliance and Prohibited Content

You agree that all content you upload complies with:

• All applicable laws and regulations.

• SinClip's Terms of Service.

• Community Guidelines.

• Copyright and intellectual property laws.

You must not upload or distribute content that includes, promotes, or depicts:

• Any person under the age of 18.

• Non-consensual sexual content.

• Sexual assault or abuse.

• Human trafficking.

• Bestiality.

• Incest.

• Illegal acts.

• Violence intended to cause serious harm.

• Revenge pornography.

• Stolen or copyrighted material without authorization.

• Fraudulent or deceptive content.

Violation of these rules may result in immediate account suspension, permanent termination, and reporting to law enforcement authorities where required.

5. Consent and Performer Documentation

You represent and warrant that:

• Every individual appearing in your content is at least 18 years old.

• Every participant voluntarily consented to participate.

• Every participant provided written consent authorizing:

  • Participation in the recording.

  • Public distribution on SinClip.

  • Downloading of the content by users where downloads are enabled.

• You maintain records verifying:

  • Government-issued identification.

  • Proof of age.

  • Signed model releases and consent forms.

You agree to provide these records promptly upon request by SinClip or any competent legal authority.

6. Image and Likeness Authorization

By registering as a Creator and accepting this Agreement, you authorize SinClip to use your:

• Profile photograph.

• Creator name.

• Stage name.

• Promotional images.

• Likeness.

• Brand materials.

These materials may be used for marketing, promotional campaigns, social media, search engine optimization, and advertising related to SinClip.

7. Revenue Sharing and Payments

Creators may earn revenue through subscriptions, content sales, tips, pay-per-view purchases, or other monetization features offered by SinClip.

You acknowledge and agree that:

• Revenue sharing percentages are displayed in your Creator dashboard or communicated before participation.

• Payments are made according to SinClip's payout schedule.

• Minimum payout thresholds may apply.

• Payment processing fees may be deducted where applicable.

• You are solely responsible for reporting and paying any taxes applicable to your earnings.

SinClip reserves the right to withhold payments where fraud, abuse, chargebacks, or policy violations are suspected.

8. Creator Responsibilities

As a Creator, you agree to:

• Keep your account information current.

• Protect your login credentials.

• Monitor your uploaded content.

• Report copyright infringement or unauthorized use.

• Cooperate with investigations conducted by SinClip.

• Comply with all Platform policies and applicable laws.

• Respect the privacy and intellectual property rights of others.

9. Account Suspension and Termination

Either you or SinClip may terminate this Agreement at any time.

SinClip may suspend or permanently terminate your account for:

• Violating this Agreement.

• Uploading prohibited or illegal content.

• Fraudulent activity.

• Repeated copyright violations.

• Identity verification failures.

• Any activity that places the Platform or its users at legal or financial risk.

Following termination:

• Your uploaded content may be removed.

• Outstanding lawful payments may be processed after any necessary reviews.

• Users who previously purchased downloadable content may retain access as permitted under applicable laws and Platform policies.

10. Indemnification

You agree to defend, indemnify, and hold harmless SinClip, its owners, affiliates, employees, contractors, licensors, and partners from any claims, damages, liabilities, costs, losses, or legal expenses arising out of:

• Your uploaded content.

• Your breach of this Agreement.

• Your violation of applicable laws.

• Your infringement of any intellectual property or privacy rights.

11. Limitation of Liability

To the maximum extent permitted by law, SinClip shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Use of the Platform.

• Loss of earnings.

• Loss of data.

• Business interruption.

• Unauthorized access to your account.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind except where required by law.

12. Amendments

SinClip may update or modify this Agreement at any time.

Material changes will be posted on sinclip.com and, where appropriate, communicated through your account or email.

Your continued use of SinClip after such updates constitutes your acceptance of the revised Agreement.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which SinClip operates, without regard to conflict of law principles.
